ENTERPRISE RISK MANAGEMENT COMMITTEE (ERMC)
The broad mandate of this Committee is to assist the Board of Directors in fulfilling its oversight responsibilities regarding the Bank’s risk appetite, its risk management and compliance framework, and governance structure that supports it. Risk appetite is defined as the level and type of risk which the Bank is able and willing to assume in its exposures and business activities, given its business objectives and obligations to its Shareholder and stakeholders.
In keeping with its Terms of Reference, the ERMC undertakes, among other things, the following:
- Approval of credit applications within its designated authority.
- The recommendation of credit applications outside of its designated authority to its Board of Directors for approval.
- The approval of the booking of net increases/decreases in expected credit losses.
- The review of significant financial and other risk exposures and the steps taken by Management to monitor and control same.
- The review of the the effectiveness of the Bank’s risk management framework and monitoring of enterprise-wide risks.
The ERMC’s independent members are: Mr. Bevan Callam (Chairman), Mr. Norman Reid, Mrs. Sharon Williamson, and Mr. Geoffrey Ziadie.
AUDIT AND CORPORATE GOVERNANCE COMMITTEE (ACGC)
The broad mandate of this Committee is to assist the Board of Directors in fulfilling its oversight responsibilities for:
- The integrity of the Bank’s Financial Statements
- The Bank’s compliance with corporate governance, legal and regulatory requirements
- The independent Auditor’s qualification and independence
- The performance of the Bank’s internal audit function and independent auditors
- The achievement of operational efficiencies; and
- The approval of the Budget and Corporate Plan, pursuant to the Public Bodies Management and Accountability Act (PBMAA).
The Committee members are: Mr. Bevan Callam (Chairman), Mrs. Sharon Williamson, Dr. Guna Muppuri and Mrs. Beverley Williamson (external member, co-opted October
2023).
HUMAN RESOURCE AND PENSION COMMITTEE (HRPC)
The mandate of this Committee is to assist the Board in fulfilling its oversight responsibilities for the appointment, performance evaluation and compensation of the Bank’s Chief Executive Officer and Senior Management, succession planning and other human relations issues. The HRPC also oversees the administration of the National Export-Import Bank of Jamaica’s Pension Fund.
The Committee members are Mr. Geoffrey Ziadie (Chairman), Mrs. Andria Whyte Walters, and Dr. Guna Muppuri. The Committee meets as necessary.
